whats the difference between a processor from dell and a retail processor?

Nothing. Assuming they are the same model number, they will be exactly the same CPU.

Dells are often better clocking CPUs than their retail counterparts. The only difference is that intel doesnt warrenty those chips, dell does

I don't believe Dell is going to warranty a CPU pulled from a Dell system and install somewhere else(as this thread's title suggests the user is doing)

There is no differance other than a retail chip will come with a waranty, and the heatsink and fan. An OEM chip, won't have the waranty, and won't come with the heatsink and fan.
