i can't find any info on AMD's site about the retail boxed processor's warranty info
--- will replacing the retail heatsink/ thermal paste void the 3 year warranty?
and who replaces the processor under warranty--- retailer or AMD?

Here's a start: Link

My impression from AMD's builder's guide is that the use of AMD-recommended phase-change thermal compound is technically a requirement for warranty coverage, and people have said that AMD will ask about the heatsink and thermal-interface material if you call with a warranty claim.

We were having a discussion of the possible reasons for that here. If you are planning to OC then you're going to void your warranty on that basis anyway, so use whatever you want. If you're not planning to OC, just stick that stock heatsink on there and leave it on (the PCTC is a one-use thing, so resist the urge to take the heatsink off until you're ready to call it quits on your warranty, or get another heatsink with a PCTC patch).

I just returned my XP 1800+ and they sent me a new one without a hitch. I had a Delta heatsink/fan on it and some AS3. I even smeared some AS3 on the ceramic core of the processor when I was trying to wipe it off to show that it was an 1800+ before I sent it back. I included a note explaining what happened and there was no problem.

I overclocked it when I first got it, but I got a lot of errors, so I ran it at default most of the time. It was not-overclocked when it died, so when the tech asked me if I had O/C'ed it I could say no with a good concience. :)

I would call them, not mention the non-AMD heatsink/fan and send it in.... If they follow they same procedure as they did with me you will get a new CPU via Fedex a few days later. =)
