Resource conflict in XP

I am having trouble with one of the 2 ethernet cards that I have on my comp. I need both because I have a LAN and internet sharing. The motherboard is IWILL KK 266+. It was working fine. But I needed to upgrade the bios for windows XP and since I upgraded the bios today it's having resource conflict. I have only 3 PCI slots (2 ethernet and sound blaster live!) filled out of 6 avliable. I also have enabled all 4 USB ports (I need since i have 3 usb devices). But the RAID function is disabled as I don't use it. Any suggesstions?
 
Try using different PCI slots. Look in the device manager for conflicts.
