Resolution doesn't alter FPS, what is bottleneck?

I just want to get some idea of what the major bottleneck in my system is.

When I'm playing games I can bump up / down the resolution and maintain the same level, is this the CPU or video card that is the limiting factor?

I have a 2.4GHz P4, 768MB memory, and a Geforce 4 Ti4200. I really want to upgrade to a 6600 GT, but am not sure if I would even see a performance boost.

CPU is limiting you.
The graphics card can keep up with a higher resolution, but the rest of your system can't.
