Is Microsoft going to consider this a new PC rather then an upgrade and make me buy another copy of XP?

My kid needed a new mobo and as a result I had to buy a new CPU, PS, and PCI-E video card.

You've asked another of those "That Depends" kinds of questions without offering the data needed to answer. What VERSION of the OS do you have?

What is called an "OEM" is locked to the old PC brand. You would have to buy the new MB from the original manufacturer of the system to possibly qualify to transfer that CoA.

A regular copy of XP, either Full or Upgrade, will certainly want to "call home" for a new activation, but it's your CoA to do pretty much as you need to do with it, short of trying to activate on more than one PC.

Yes, I just upgraded mobo processor and memory on a PIII system using OEM XP Home.

I was able to reactivate online using the normal procedure.
 
if you bought the copy off new egg then itll work fine... you may have to call microsoft, ive had to do this several times when reinstalling xp they just ask you if your running one copy, etc etc no big deal
