Reinstall Windows 2k when upgrading CPU only?

Just wondering if it is necessary to completely re-install windows when upgrading a CPU only. I have an EpoX 8k7a mobo and I'm upgrading from an old Athlon 1.2 Ghz to a mobile xp 2400. I know the mobo doesnt "officially" support this CPU, but I have read a ton of posts on this and I am willing to at least try. Anyway comments are appreciated!

No, you do not. You will want to edit the registry if the cache on your processor is 512K. Instructions are found here.
