Is there any difference other than you can't search with regedt32?

Which would be the preferred one to use with XP and why?

With XP I don't think there's a difference, with all previous versions of NT you needed to use regedt32 to load external hives and change ACLs.
 
In XP MS combined the both programs features into one. Otherwise, in previous versions, to change registry permissions, you needed regedt32.
