Reformatting and activiating Win XP?

I feel embarassed asking this question but I would like to know ahead of time. I am going to be getting a new mobo/cpu/ram combo and plan on reformatting my hard drive to start fresh. Will I have any problems reactivating Windows XP after the fresh install?
