Recommend good p4 board for HTPC

I first thought to get Intel board for stability but I may have to overclock a bit to do what I want with ffdshow. So, what I need is a quality, stable board that overclocks well. SPDIF_OUT both optical and coax is a plus (saves buying a sound card). Not a big deal, just a preference. The main requirement is that it is a solid overclocking board. Recommendations appreciated.

This one looks pretty good and the price is right.

I have that board in my main PC, great board. If you don't need alot of the frills (gigabit Ethernet, RAID, only optical SPDIF, etc) and want to save a few bucks ($111 vs $78), look into an Abit IS7-E (not the E2!). I currently have that in my HTPC with a Pentium 4 2.4C @ 3.0C - it rips thru FFDShow filtering on my DVDs with no lag.

Actually, I wanted optical so that will do fine. It appears to be a fan on the chipset... I want quiet so I would rip that off an replace with a zalman passive heatsink. I suppose that would that be adeqate? I plan to use a 3.2 Northwood modestly overclocked with a zalman or thermalright HSF.
Could someone suggest what ram would be good to OC FSB? PC3200 I guess but is low latency or enhanced bandwidth prefered or will budget ram do? Last Pentium system I did was P2 :) so I'm not that familiar. Thanks for your help.
