reboot and modem tries to connect

when i reboot or try to shut down my modem tries to go online,i narrowed it down to my ctrl-alt-delete,
when i tried this to find out what was running i found this[download of software]i have to end task then
i can shut down.but when i reboot this comes back.i went under my start up and could not find anything
unusual.any ideas?
