really funny system crashes - upgrading advice needed

Hi,
I'm running a Abit BX6-2/C2-566@850 right now, I've puchased 3 256MB/PC133 SDRAM recently (...well, I've been out of system-tuning for awhile, otherwise I'd have gone with DDR-RAM or stuff)
OK - my system, when oc'd, shows mysterious chrashes ever since I installed some DSL-Hardware. Also I don't understand why, I was able to indentify my oc'd Celly to be the bad boy. It's really funny, I run my C2@850 for about 18 month now, played several heavy games, worked every day in office with it, without one single "typical" crash (hangig, corrupted graphics, or so) but time by time, when connected to the web via Network-Card and DSL-Modem my system goes black and boots up again. I was thinking of ACPI issues, tried several network adapters in different slots different installations of Win 2k (and XP as well), deactivation of any unneeded hardware, any possible bios-setting according to acpi or irq-handling, without any luck. Finally I downclocked my CPU to 566 MHz and now it works !!?!? I need to install anFCPGA to Slot 1 card on my mobo, it's a noname, maybe to bug lies in there, I don't know and I don't have the time and money to replace any single component.

(Thanks everyone for reading until here, here comes my question)

I think of two alternatives for upgrading:

1. replace my C566 with a PIII-850E (100MHz FSB) costs ~ DM 369,-- (maybe I can oc to 1130, but I don't know, if my slotkey is faulty it won't help me either)

2. an AMD Athlon 1,4GHz (266FSB) on a Abit KT7A costs ~ DM 500,--

I'd tend to the second one but I've read about this VIA-bugs and I really need a stable system. I'd choose the Abit for it's 6 PCIs/1ISA which I need. But maybe there's a better CPU to go with when coming to system tweaking.

Please gimme your advices, please,...

i'll recommend the second option w/ some options in the mobo part

1.get an EPOX EP-8K7A
it might cost more but i think this board is really good, or you might want to consider the Epox EP-8KHA with the KT266 chipset
2.get an ASUS A7V133
it's stable and pretty easy to o/c.. too bad the highest VCore setting is only 1.85V (could be higher w/ some modding)
3.the ABIT KT7A is a good board.. use to have one, before i sold it last month
4.the Iwill KK266-R is pretty good as well

oh yeah if you're considering a TBird don't forget to invest some money on good HSF & PSU that's at least 300W
