Ready to purchase parts... need final review

I went back and forth between which process to get and I've decided to get the 6400 on the sole reason that it's only $50 more and appears to be better. I do intend to overclock the cpu I get to something reasonable. I want to replace any loud fans in the system as well.

Mobo: Gigabyte GA-965P-DS3
CPU: Core 2 Due E6400
RAM: Patriot eXtreme Performance 2x1GB

Is this a good combination? I'm completely open to suggestions.

Is it cheaper or smarter for me to buy a copy of windows with this? I'm using xp now. It's probably time I move to a legit copy of xp or vista. I have no idea how the whole upgrade thing works though.

Ideal, if you can get it is a legit copy of XP with coupon to upgrade to Vista when it is really ready for prime time. Or, if probably just just the same result if you have XP? and upgrade to Vista later. I would not recommend installing Vista today.

Doesn't that upgrade only to home basic though? Isn't home premium the good one?

You can get an upgrade to any of the versions of Vista.
