random vxd corruption?

Finally got all the hardware friday ad startd putting together the system. Here's whats in the box:

new Asus a7v mobo
new Duron 600
new 3/3/3 pc133 ram
new Maxtor DiamondMax 30gig hdd.
old cd, cdr, and floppy.

Got everything installed and looking good, so i overclocked the cpu to 800. Everything seems fine for a while. Then all of a sudden after trying to install Deus Ex windows stops booting. Can safe boot, but not normal. Boot in step by step mode and find it's locking up at some random vxd file. I figure something flaked out due to the overclock (even though asus probe said my temp was a well within spec 41c), clock it back to 600 and format/reinstall.

Nope.

Same thing again, fine for a little while, then randomly stops booting normal. Locking up after showing lmouse.vxd this time. So i remove the logitech software (guessing correctly that that's what's using lmouse). No luck again... now it's loading msmouse.vxd at that spot and locking there anyway.

So to get to the point, anyone have any bloody clue what the heck might be happening here? All i had installed at that point the second time was win98, the leadtek drivers, the via 4-in-1s, asus probe, and was trying to install asus update when things started going wonky (first lock was on the 'finishing installing' message after the reboot from installing it) however last time I had already installed all the drivers and was working on directx. I'm clueless at this point.
