Random system lockups...

In the past 2 hours my system has frozen 3 times, each time has required a reboot. First time was playing EQ2 beta, second I was chatting in a chat room, thrid time I was just reading a web page. Odd thing was on the thrid reboot, at the boot screen it locked and the image seemed to shift and it had 5 grey, broken verticle lines going through it. This leads me to believe it is a video card issue. Then again my system was overclocked but I just put it back to stock and I'll see what happens. Any ideas would be great.

WinXP Pro w/ SP1
Omega Cats 4.8
XP2500+ @ 2.2ghz Temps 45C under load (now back at stock 1.83ghz)
1GB (2x512) PC3200
Abit NF7-S v2
Radeon 8500 (36C under load)
Antec "True" 380watt PSU

Ok it's still going on whether stock clocked or overclocked, turns out its not hard locking though. It just freezes at random times for 30 secs or so and then goes on like nothing ever happened. I checked the ram with memtest and it had no errors. Tested each stick separately and then together. Ran it for about 2 hours each time. I've gotten a new video card since the first post so I ruled that out as well. So that leaves me with HD, mobo, proc. I ran the WesternDigital HD diagnostic but it didn't find anything wrong. Gonna run Prime95 tonight and see what happens. Any other ideas? I don't think its windows because it's happened at the boot screen once or twice.
 
Well ran Prime for 12hrs with the proc overclocked, no errors. That leaves me with the HD or the mobo. Wish I had a spare of each to swap out.
