Random Freeze on a new pc

System specs
i5 750 w/retail fan
msi gd65
xfx 4870 1g
2x2 gb A Data DDR3 1600
Antec 500w Earth watts
1 400 gig sata maxtor hd
Antec 180 case
3 120mm case fans
win xp pro sp2 32bit and ubuntu 9.10 64bit.

I can post fine but the screen will lock up randomly from right after windows loads to 10 minutes later. I made sure everything was stock in bios. I ran memtest86+ and it finished one complete pass error free before I stopped it. I've loaded ubuntu but the same problem exists, I've even had it freeze up during ubuntu install. I don't think I've had it freeze during safemode but I haven't used it in safemode for over 10 minutes. Checking the windows error logs gives me nothing, it just says the system stopped.

well a full system list would be of help (look at my signature to see what i mean) could be a lack of voltage on psu... putting as much pertinent information as possible on your spec list makes it so others don't have to google each part

Try different video drivers. Now the PSU may or may not be an issue but it is right on the edge.

I also have a problem when booting up cold. It will start then stop and then start again a few times until it starts for good.

make sure nothing is wrong with your harddisk (run chkdisc). Most of the time you won't get hard freezes though but rather blue screen of death. I would check your rails in bios for your power supply and see if you are getting the correct output. Also try the different drivers for vid card.
