Raid card and windows stuttering

Hey I was having very strange problems in win2k, I had a winmodem (ick!) and an iwill ata/66 raid card (not in raid, just some hdd's plugged into it)
whenever the winmodem was dialed in, the hdd and windows performance in general was horrendus (even a bsod at one point)
Took out the card and now windows loves me again.. What's up with this, an irq conflict, or the raid card was whining because it wasn't designed not to be a regular udma card?
Win2k SP2 also tested in WinME

CLick on hardware resources, and then on IRQ's.

when was it released? I think it's a firstgen socket A (irongate chipset)

latest bios (beta this month)
was using an earlier one w/ the same problem.
