I have the followings in hands. I don't O/C, and quietness is all I look for...

CPU: Athlon 64 3400+ 2.2Ghz Venice socket 939
MB: EVGA eVGA 131-K8-NF44
RAM: Ultra 1Ghz PC3200 (2x512) CL3

Any suggestion for quiet CPU heatsink fan and PSU for these?

budget? video card?

a good 350-450w psu should do fine unless you've got an 8800gtx or an x1900xtx or something. think seasonic, fortron, enhance, enermax, etc. we need the full system specs & budget to really make a good, specific psu suggestion.

as for a hs/f, i like the arctic cooling freezer64 pro, but there's lots good heatsinks out there (scynthe has some good stuff, the tuniq tower, etc etc).

The Artic Freezer 64 Pro is extremely quiet, and I would recommend an Enermax Liberty 450W.

Here's the rest of my system:
CPU: Athlon 64 3400+ 2.2Ghz Venice socket 939
MB: EVGA eVGA 131-K8-NF44
RAM: Ultra 1Ghz PC3200 (2x512) CL3
Videocard: (planning) GeForce4 7600GT
HDD: 200Gb ATA 133
Sound card: Creative SB Audigy
No DVD drive (I have an external DVD RW drive)

In my old system I already have a generic 400w PSU, but there's only one 12V rail that gives 15A. PSU calculator said I only need 300W, but I'm worried that 15A is not enough to drive the 7600 GT (not sure).

BTW, I have the UltraFly microATX case. But the space above the CPU slot is only around 6cm high... so I think AC freezer 64 pro can't fit. Does anyone use the same case, and what fan option do you use?

The 330 watt S12 has far more 12v power then your generic 400 POS; it will run your system easily.

The Zalman CNPS-7000 is a low profile heatsink, it will fit in that case w/o any problems.
