Question about car pricing

I was thinking about a '97 Benz S320.
I was offered a 97 S320 with 105,000 miles for $14-15k

Is that price fair?

I was thinking maybe $12-13k for it.

I've already checked there, but KBB is off.
I have some friends that are dealers and I've looked at blackbooks, but you cannot
always get the car at black book price.

I just don't want him to think that I don't trust him or anything.
