Question about boxed Athlons

I was wondering what the real difference between a boxed (retail) athlon and an oem athlon bundled with heatsync/fan? Is the heat sync/fan already attached to the athlon in the retail boxed version?
 
No, the HSF is not attached to the retail boxed Athlons. The difference is that the OEM's usually do not have a long warranty period, while the retail box has a 3 year warranty.
 
I am having an issue with AMD right now. The first replacement Duron 600(retail and purchased from Buy.com) that came - NEVER worked at all! And I am still waiting to hear from AMD. I have been waiting for over two weeks and I am %$#@$%!!!! Has anyone had any problems with AMD and their three year warranty issue??
