A few comments-

The P5B is kind of old, you might want to consider P5K-E
You need DDR2-800 not 667 - I would get something like OCZ platinum rev. 2 ($90 plus $35 rebate currently)
Wait for the ATI 2950 pro. It's coming in a few weeks and will be faster plus support DX10
If you want to overclock, the included heatsink for Intel is rather poor

As for cpu, personally I would go cheap like E4400 or Q6600. The mid-range dual cores are pointless IMO. The quad core overclocks
to 3ghz so easily and as more games/apps support the extra cores, the life of the cpu will get extended greatly.

The rest looks fine.

My Kingston DDR2 667 Value RAM overclocks easily to 800Mhz even at stock 1.8V

Q6600 for the win. I also think a P35 mobo is your best bet. The Abit IP35-E is cheaper, a more competent overclocker and has all the same features.
