So I have ageforce 2 MX 400, the CPU has no heatsink on it at all, now I bought the AMD Athlon 64 3200+ retail cause I found a good deal, and I also bought the Zalman CNPS 7000A AlCu, I was wondering if it would be ok to put the AMD athlon 3200+ stock heatsink/fan on the GeForce 2 MX 400 and overlock like mad?

I think that the stock AMD heatsink would be just a tad too heavy. The fan might be a good choice though, due to thinness of size, if the card already has an existing heatsink on the GPU.

I suggest looking for a "good deal" on a video card. ;) In fact, what you paid for the Zalman would likely get a better video card than the one you have(though probably not much better).

<anything>MX is crap d00d. I wouldn't even bother OC'ing the damn thing. return that overpriced heatsink/fan, drop about $20 and get a decent vid card, that is if you plan on playing games with it.

You could oc a GF2 MX to 2ghz core and 4 ghz memory and it still couldn't run anything newer then 2 years old...

I know but I just want to push everything I have out of my video card, and I have a stock heatsink/fan laying around and wondered if I could use it. So there is no other way than drilling? Any suggestions on what I can do with the stock heatsink fan?

Thermal epoxy would do it.
Drilling the holes is easy though. I've always done it with a hand drill. You must know someone who has one.
