PSU or VPU poblem...

I've been getting random restarts and after going through the event viewer I've found that it has something to do with RAM. I check my Tyan 9800pro and the Memory Core Voltage fluctuates above and below the lowest safe value of 2.70V. My vid card will beep when this happens. So does this mean that my PSU, a Herolchi 350W PSU, is not gettin enough juice to my vid card memory?
