program to limit bandwidth usage of a machine based on schedule or usage of other lan machines?

I want to have a machine to download stuff and upload to a webserver that will be on 24/7, but I only have 384/128 dsl so if it's doing that while I'm trying to use the bandwidth with another machine on the network, my stuff will be way to slow.

is there a windows program that can limit the bandwidth usage of a computer based on a schedule, or better yet, one that can limit the bandwidth usage of a certain computer on the lan whenever it notices that other computers on the lan are trying to use bandwitdth?
