Processor not identified

HELP!! I can't figure this out. About 1 week ago I upgraded my XP 2400+ to XP 3200+. Now device mngr won't identify it. Under processors it shows the little yellow exclamation and says unknown device. When I go to the general tab under properties I get the message that driver files are not loaded and to reinstall hit reinstall driver. Well when I do that, it goes through the motions and then stops----- saying "Please insert compact disc labeled 813383 into cd rom and press okay" Well I'm not sure which disc this is so I've tried my Win2k disc and my WinXP home upgrade disc. It goes through the motions again and then returns the no drivers found for both discs. Every things seems to be running okay, I haven't noticed any problems. I have even flashed to the most recent bios for my NF7S v2 (yes, double checked that I got the right bios) board. (problem already evident prior to flash) This was a retail box cpu and fan from Newegg.

P.S. Oh Yeah! I almost forgot. At some point during the search for drivers I get a message about needing the file amdk7.sys. Well I have found it in Win explorer and its right where it's supposed to be.

PLEASE SOMEBODY HELP ME FIGURE THIS OUT!! I'M ONE OF THOSE TYPES THAT IF SOMETHING IS NOT QUITE RIGHT I HAVE TO KNOW WHY. IT'S BUGGING THE CRAP OUT OF ME!!!

I thought only mobile XPs needed amdk7.sys - and only in laptops, not desktops as it was used for power saving. Off the top of my head, I thought XPs and even XP-Ms used standardCPU.sys (sic?) in desktops since there's no need for that using AC power.

You said this a standard XP3200+ not a mobile? (Oh, was the 2400+ a mobile - maybe that would explain why Standard.sys isn't being used.) Anyway, can't you update the driver in Device Manager and just navigate to the folder where you found the file? System32? Might want to use Standard.sys instead, too. (But be sure that's the right name first.)
