Processer upgrade

I have an old Pentium 4 2.0A processer and am thinking about getting a $65-85 Celeron D to upgrade but I want to know if it will actualy be a good idea. The old processor overclocks to only 2.4 or so and i never like to go the whole way so it is at 2.2 Ghz
My motherbord is an Asus P4P800 Deluxe.
I also have a ATI 9200 but i'm not really worryed about games at all I mostly need the processor for convertion and other processing realted to transfering old Cassette tapes and film negitives into digital form.
