Problems With 128 Meg Gainward Ti200

Today i just got my 128 meg TI 200 and i have encountered a weird problem. At first i didnt realize it but now i do, it seem that whenever my processor is OC'd the card wont boot into windows, drop it to default Speed and windows will run all day. This Comes as a Suprise to me because for the last 3 weeks with my Gainward 64 meg GF2 Pro My system ran at 100% stability. The reason im bothered is that the only reason i bought the celey was because i heard they are great when you can OC them and it is true they are, but its a piece of crap at 100mhz bus Ill Take any suggestions or opinions cause im at a loss for words right now.

1.2Ghz Tualatin Celey (Was at 1.55Ghz with 1.625volts before i installed the new Video Card)
Asus Tusl2-C with 1011 Bios
256 Megs Crucial PC133 (-7E chips)
Gainward 128 Meg GF3 Ti200 (Was Gainward 64 Meg GF2 Pro before and it worked fine with my processor at 1.55Ghz)
3COM 905TX 10/100 Ethernet Adapter
30 Gig Diamondmax +60 HD
20 Gig Diamondmax +40 HD
14.4 Gig IBM 14 GXP
Teac 40X CD
TDK VeloCD 8432

Some video cards don't react well to faster AGP speeds when you overclock. Can you get any overclock at all? Try going up in 5 MHz FSB increments instead of just jumping straight to 133 MHz FSB.

Also make sure you have the latest BIOS and chipset drivers for your system.
 
This Card should ive had a few gainward product in my life and they all took every agp speed i threw at them, im still baffled by this has anyone else had a similiar expereince.
