Problems upgrading xp pro onto hdd w/ 2k on it

The first time I tried upgrading this hard drive (which has 2000 on it) to XP Pro, it stalled out at 49% through the format. The second time I tried to install XP Pro (using quick format instead of full format), it would not copy all of the windows files (so the install failed). I'm using a (legit) OEM XP Pro cd for the install.
HDD is an older Seagate 5400rpm 40gb drive that does in fact work.
Any suggestions?
 
I've seen situations where Windows wouldn't copy all of the files when a system had a bad memory module. Maybe a run through of MemTest386 would be in order.
 
Could be a bad sector(s). Run diags or (better) if nothing else is on this drive (can't tell if this is 2nd drive or 2nd partition on first drive) go ahead and low-level it. Or you could try splitting the partiton into 2 partitions nad try installing each. If the damage is concentrated in a small area you should be able to install on at least one of them.
 
It sounds like bad sectors to me, if it stalled while formatting. Quick format works only because it doesnt perform the check for bad sectors. You should probably try that ColKurtz recommended.
 
Colkurtz and talyn00 are correct I had problem like yours so had to replace with new hard drive it works fine.
