Problems installing W2K on Athlon

Hope somebody can help,

I have installed win98se on the following machine and it works just fine:

gigabyte-ga7dx amd 760 chipset with via southbridge
athlon 1.0ghz "c" 266 bus
256mb crucuial pc2100
4GB maxtor (don't ask, its not my machine)
diamond stealth III agp

I tried to install W2k twice, and it installs and copies the files but when it boots up for the firsttime, I get a blue screen error saying
hardware error

and thats it. I have no idea why. I tried upgrading the BIOS to the latest version. I tried changing ram slots. I tried lowering all bios settings to fail-safe. Is it an issue wiuth ACPI? Its on right now. Is it an issue with the integrated via sound? I am stumped.

If any one could help, I'll email them some mp3s of my band.
