problems getting ics working in win2k

i had ics working in win98se a couple months ago. right now win2k is running on both systems.

computer 1
netgear nic (network)
ip: 192.168.0.1
subnet: 255.255.255.0

kingston nic (dsl pppoe)
ip: auto
dns: auto
enable internet connection sharing checked

computer 2
netgear nic (network)
ip: 192.168.0.2
subnet 255.255.255.0
gateway: 192.168.0.1
dns: 206.13.30.12
206.13.29.12(dns for pacbell)

the computers see each other on the network, but i can't get ics working. tried going to internet connection wizard on computer 2 and setting it via that. still no go.

help please. thanks. =)
