I have the following components for my rig.

MSI K8N Neo4-F
AMD Athlon 64 Venice 3000+
Corsair PC 3200 512x2MB
OCZ Modstream 480w PSU
Leadtek GeForce 6600 128MB
Seagate 7200.7 160GB SATA
Creative Lab Audigy 2
Leadtek WinTV Xpert
Netgear 802.11b PCI card
Good ole HP floppy drive

It took me multiple times to just install WinXP without changing anything in BIOS. Whenever I finished installing WinXP and Nforce driver, it rebooted which is fine. But never came back again. It always says Windows didn't start successfully and choose safe mode and etc. No matter which one I chose, it just stopped. Could it be motherboard's problem or hdd's? HELP!!
 
You might check msi's bios updates for that board, and try changing your memory timings and settings.
 
Also try stripping it down the bare essentialls, ie RAM, HDD, CPU, and Vid Card. That was you can eliminate as much as possible as a problem. Updating the BIOS is a good option like 01die said.
