1) a hot girl with alot of money that is obsessed over you
2) an "OK" girl who isn't that rich, but you love her, although she only thinks of you as only a friend

I don't want a girl to 'only think of me as a friend' if i want to date her! That defeats the point of dating her! Otherwise she might as well be a friend.

Her being 'ok' looking or 'not rich' has no bearing on it. But only thinking of me as a friend isn't good for dating imo, well unless she has some romantically incline feelings towards me...

Obsessive as in romantically, but she is a bit over protective but not to the extent that she would go crazy. She's a very honest person and if she has a problem she'll tell me to sit down and we'll nicely talk it out...on the other hand girl #2 kinda voids alot of problems and deals with them only when she NEEDS to.

It doesn't sound like a choice to me. If girl #2 isn't interested in you as more than a friend, it isn't likely to change.

You have to ask yourself if you are actually interested in girl #1. If not, you shouldn't pursue anything, even if she is hot and rich. Go find girl #3.
