Please Help - New Computer Issues

I just finished putting together a new system and am having problems.

The specs:

Soyo P4X400 Dragon Ultra
3 sticks of 256 Meg (512 was backordered) PC3200 DDR Mushkin RAM
P4 2.53 ghz
Radeon 9700 Pro
Lian-Li Aluminum Case

All sound/lan/etc is integrated, there are NO other cards on this system.

Now here's the problem, the system is EXTREMELY unstable, if there's more then 1 stick of RAM in it, it'll crash within a couple minutes (near the beginning of PCMark will always kill it).

If I use 1 stick of RAM, it's more stable, but still highly unstable (PCMark will always run, 3d mark has a 50/50 shot of freezing the computer).

I've tried different video cards and the behavior stays the same, I've tried different memory buses, I've tried various voltage to the DRAM. What could be making the system so damn unstable? An unground wire? Did I mount the damn motherboard wrong? Any help appreciated.

I then tried swapping in a new 550w power supply with the same results.

I then swapped in an Asus P4S533 board with a different result. The system will shut itself off (power off) within 2-3 minutes of being turned on for no reason.

This leads me to think it's somehow the processor, but I have no way to tell. Is it possible that I've attached the heat sink incorrectly on both boards?

OS doesn't matter (it's XP though), the system will power itself off regardless of if I'm booting the OS or even just browsing the BIOS. It's possible that the CPU is shutting itself off due to heat, but I don't understand why that would be.

How about the fan on the processor? Is it on correctly? I have seen a fan be on backward and cause the system to reboot. It was a AMD based system though.
