PD 940 vs Conroe E6300

Both of these cpus are supposed to go for about $183 at the end of the month and I was curious as to how they would compare if OC'd. I've heard the 940 can reach over 4.5 Ghz on air and I think the higher Ghz will help on encoding video and audio. The E6300 has a default speed of 1.86 Ghz and I'm not sure how far it will OC. Is the new cpu architecture so good that it can match or exceed a Pen D OCd that high on encoding tasks? It used to be that Intel had a big advantage in this area over AMD due to the higher speed and I'd like to know if this applies to Conroe. Thanks
 
Actually, I've been looking at the X2 3800+ even more since I've heard it will only cost $169 after price drops. I can just drop that cpu into my Epox system and OC it to at least 2.4 Ghz which should beat the 9xx series but not the Conroe. The thing is that if I go Conroe, gotta get a new mobo and ram and thats a tad too expensive.
