I believe the biggest difference is the E model has gigabyte lan routed through the southbridge (ICH5R). As far as a recommendation, go for the E model. Gigabyte lan may not have much use now, but in the future it will. Kingston's Hyper-X mem is a good choice. Corsair's XMS Pro series (the modules with the activity LED's) is also a good choice. Just about any PC3200 or better will suit your needs. If your going to overclock (you might not have enough headroom with the 2.8 though) you might want to concider Abit's IC7-MAX3 mobo. I have one, and I love it!

quite liked the features on the P4C800D-E board
has everything you need, SATA, Gig LAN, RAID etc..
is the Abit good then?
the P4C800D-E board has 4 RAM slots so whats the best combination of RAM??
properly run 512Mb so is it best to get 2x256mb or just get 1x512Mb??

get two slabs of 256mb. don't get one single 512.
that way you'll get dual channel speed. just make sure you get similar chips.
