I'm having random reboot problems with my new system:

P4 3.4G Asus P4C800-E DLX
1GB Kingston DDR400
ATI X800 Pro
160GB Maxtor

I have installed the latest BIOS 1018. Moved the memory to differnet slots. Changed the voltage on the memory. Disabled all onboad items like sound card, lan, usb2 support, etc. Changed the power supply to 550w unit.

The PC just reboots like someone unplugged and plugged it back in. (outlet is working fine cause my old 2600xp work fine w/ 5 fans and 6 HD's)

Not looking to over clock.. Just looking to make the rig stable.

The CPU temp never gets above 55c.

Ran memtest86 and found no errors but it does reboot during test.

Board is seeded properly from what I can see.

Would you guys think the problem is a bad motherBoard?

If the pc reboots during memtest, it most likely is the memory. Confirm this by running it on another system.
