P4 Shutting Down??

I have had a P4 computer for the past 2 years that has worked fine without any problems; Then the shut downs started; I followed everyones advice I could read; I cleaned out the entire computer with forced air, replaced the power supply (300 to 450W) and put in a new CPU Zalman Heatsink/Fan.

Still shuts down; I decided it was time to upgrade, I replaced the motherboard and the P4 Cpu with new and faster CPU (2.8). I loaded MBM 5 softeware to check the case and CPU temperatures. The Bois and the MBM 5 software seem to match.

I have a power supply with two internal fans, a Zalman CPU Fan/Heatsink, another case fan, the case cover is off and I have the computer sitting on my desk next to an open window with a cool 60F breeze.

I put my hand in the case and if feels very cool and the heatsink the same way; When the computer sits idea or I'm on the Internet the CPU temp is around 49-52 C; If a use a program that uses 80-100% of the CPU the temperature goes to 57-60 C (never higher).

The shut downs sit are coming; The come at weird times; I can work on the computer for 2 hours and off it goes with the temperature never going higher than 60C

With the computer powered on, I tried to carefully slipping the cover back on the case. With a slight nudge of the computer caused a abrupt shut down.

Any Ideas?
