overclocking geforce

hi all
i really need some help on this.......
ive got a celeron 400@500 on qdi legend 5 lx (oldie) 64mb ram an d an creative geforce pro(ddr) and when i overclock the clock or the memory the performance decreases!! why the hell does this happen??????
most intriguing is the fact that when i install the det 6.18 over me 5.2 performance also decresas slightly!!!
can anyone help me?

ive got win98se, dx7, blastercontrol 4
in 3d mark2000 my score is 3400 is that score low acording to the specs of my pc?

one more thing....
a friend of mine has exactly the same problem that when he tryes to overclock his elsa srd the performance also decreases.the diference is that hes got an k6 350 but there must be some kind of problem cause his score is only ~1600 whith 64mb ram and win98se.
what going on??????

sorry but i there is a mistake.. my geforce drivers are 5.3 and not 5.2
help me please
