on windows XP network, password protect a network share?

is it possible in a situation where users have xp workstations, and network shares for a company are set for group membership but a special folder desires password protection instead of file password protecting...
 
If you are looking to restrict the access to folder that is in a share, first create a new security group with the people who you do want to let access it, now disable inherit permissions on the folder you want to protect, copying the old permissions when it prompts you, then remove the group(s) of people you do not want to access it, and then add your approved group to the permissions.

Or are you looking for some sort of security auditing trail?
