Currently have a S370 Celeron 800MHz, I know that there are some PIII's that are S370. Question being can I replace the S370 Celeron with a PIII S370?

Probably. What motherboard do you have? Most mobo's supporting 800MHz CPU's will probably sport a 133MHz FSB, if so you could most likely pop a 1GHz PIII into that bad boy.
