OEM winXP from VS.Net event- license question

I think some of these questions have been answered before, but please humor me. I want to give this to someone far away who doesn't know much so I want to be absolutely sure of my answers

1) I don't think there is any difference between this CD and the Blue Boxed full (not upgrade version) - right?
2) What does it mean when it says "unlicensed software - illegal without separate license from Microsoft?"
on the back of the cd, it has a CD set code adn product key.

This is from a MSFT event so it is genuine. But what about this license thing? Does that mean we can't install it and be legit?

I also have one of the .net freebies of XP.

They are (as far as I know) the same thing. The retail CD's also say on them "unlicensed software - illegal without separate license from Microsoft". That means simply that without the product key it is not licenced (the key is the lic. not the CD).

I dont know how MS feels about us trading those CD's, however if you make sure to give whoever you give the CD to the serial that was on the sleave it should be fine.
