Odd Problem

I've recently finished building my "back-up" pc and I'm having an odd problem with it. Everything works great while its up and running, but when I go to shut it down Windows goes through the shut down process, but instead of my computer turning off, it resets right after the "It is now safe to turn of your computer" message. Anyone ever have this happen to them, this is definitely a first for me.
The system is configured as follows:

-AMD T-Bird 1ghz on Iwill KK266
-256 MB Mushkin Rev.2 PC133 RAM
-20GB 7200 Maxtor HDD
-Asus Geforce2 GTS
-SB Live!
-3com 10/100 Nic
-DVD Drive and CD-ROM

This is run with Windows ME on a 300watt PSU.
