OCZ DDR2 PC 5300 wrong RAM for E4300?

I purchased 2x1Gb OCZ DDR2 PC 5300 Value Pro Series 4-4-4-8 memory for $158. Will this work for a Core2Duo E4300 on a mATX G965 express MB with some over clocking?

I'm starting to gather parts for a new Media Center/light gaming PC with E4300CPU, but don't have the mobo/CPU yet.

Also need a suggestion for a mATX board (to fit in Antec Fusion case) that can run E4300 AND has decent overclocking support. I have read that E4300 needs 965 based MB and ran accross conflicting reports that 965 based chipsets only works with DDR-800 memory.
 
The memory will work just fine with the CPU you have, and will give you quite a bit of headroom for overclocking the CPU. Since the CPU has a default FSB of 200Mhz and the memory is designed to run at 333 you'll be able to push things easily as long as the board is up for it

alternatively, this one supports fsb and ram voltages for certain, but there is a strange VID cmos settings that should change voltage, but i have not verified that as definate. however, this asus board uses an ADI HD chipset, which is better than most the realtek stuff.
