occasional lock-up when i boot

This happens sometimes, but i can reboot and it starts up fine. Scandisk finds nothing.
FIC SD11 mainboard
Athlon 600
V3 3000

It boots up to the desktop picture. The icons and taskbar don't make it. The mouse freezes (usb intellieye(I love it)). Do you think this would be a software problem or hardware?
