Does anyone know which driver from nvidia is support winXP final ?

Use Win2k drivers, they work just fine. I am sure Nvidia will release WHQL XP drivers once it hits retail.

yup i know will work fine....but is it still can be overclock using those coolbits ?

That depends on the drivers not the OS. Nvidia took coolbits out of a couple versions of the 12.XX driver series.
