NVIDIA To acquire 3dfx core graphics assets


SANTA CLARA, CA - DECEMBER 15, 2000 - NVIDIA® Corporation (Nasdaq: NVDA)
today announced that it has signed a definitive agreement to acquire certain
graphics related assets of 3dfx Interactive (Nasdaq: TDFX), a pioneer and a
recognized leader in graphics technology. These graphics related assets
include, but are not limited to, patents, pending patent applications,
trademarks, brand names, and chip inventory related to the graphics business
of 3dfx. In addition, 3dfx and NVIDIA have agreed to stay the patent
infringement litigation between them through the closing of the transaction,
at which time it will be jointly dismissed with prejudice.

Under the terms of the agreement, NVIDIA will pay to 3dfx a total
consideration of $70 million in cash and 1 million shares of common stock.
The asset acquisition has been approved by the board of directors of each
company and is subject to 3dfx shareholder approval, the satisfaction of
regulatory requirements and other customary closing conditions. This
acquisition will be accounted for as a purchase and is expected to be
complete in the first quarter of NVIDIA's fiscal year 2002.

It's no secret that 3dfx has been in a very poor financial state for some time. So, genocide, it's ok to steal technology from a company and then, when the company goes bankrupt trying to litigate the theft, they come in and acquire the rest of the technology?

Yeah, that's pretty ethical.

It's not that I liked 3dfx, but [/b]fucking[/b] Nvidia is trying to do the same thing to Matrox. Bastards! :|

but we are going to benefit from this..... 3dfx hasn't been to much competition lately, and now we are going to get the 2 leading companies in the world as one, working together. We will get superior products, and the price probably won't go up any more than they are right now because there isn't much competition as it is...

I think it all stems from when they went solo, seemed like a daft idea to most of us at the time.

Sad thing is, i imagine video card prices might go up a bit

Damn this sucks. I really can't see how it will benefit consimers at all, other than the fact, that 3dfx products will still be available.

I think damocles has the right idea here.

3dfx was fine until they decided they could do it all. By taking everything in-house, they jumped into a much more competitive market. Had they continued to just produce silicon, &amp; let the board manufacturers deal with the price wars, they probably would be OK.

It is bad, sure I like nVidia chips better but with no competition from 3dfx they won't be pushed to put out as high quality of a product

What the hell do you mean by that? What did they steal? T&amp;L? AGP? I know that 3dfx had a suit, but the tech industry has always sued each other. Intel vs. AMD, S3 vs. Nvidia, Nvidia vs. 3dfx, etc.

3dfx destroyed themselves with their arrogance and crappy products. As Nvidia raised the bar of speed and quality, they always responded with &quot;The users don't need that.&quot; Well, apparantly they did, cuz they're out of business.

3dfx created the modern 3D accelerator market, but they mistook being first for being best and relied on fanatical Glide fiends to keep them alive with the constant promise of &quot;the NEXT chip will 0wN3r j00!!!&quot;, only to drop them on their heads again and again and again...

Now it's Nvidia vs. ATI...FIGHT!!!!

it's a shame, graphics card prices are high enough as it is(geforce2 Ultra for $850cnd. you can buy a half decent computer for that much! :|) and one less company will drive prices up even more...

The difference between NVidia and Microsoft is that there are truly viable alternatives to NVidia video cards - ATI, Matrox, etc.

You can't say the same for Windows. In fact, I would bet that NVidia is not even the market share leader . . . I would think ATI's OEM contracts would more than make up for NVidia's retail and high-end OEM sales.

It's kind of sad to see a pioneer go, but hopefully with the union of these two great companies, we will benefit with bitchin' technology. (SLI GeForce?)

EDIT - And think about it this way, does NVidia really have a monopoly? I could say that MSFT does have a monopoly, but the same does not go for NVidia. You don't have to pay $500 for a GeForce 2 Ultra. You can pay less than a hundred dollars and get an ATI card (even an SDR Radeon, I believe), an old TNT2, Matrox, etc. With the exception of playing games, your computer will operate just the same with a cheap video card as it would an Ultra - 2D performance between cards is not that great.

I propose a boycott against nVidia products.

They took out 3dfx (with some low blows I might add) and are suing Matrox for some weird reason. Matrox sued nVidia first because they illegally &quot;courted&quot; Matrox employees- by the way, after this, nVidia magically had a DualHead clone. Is ATi next?

<sigh> 3dfx is at blame too, they should not have brought everything in house. When they did that I was but a pup in the hardware scene and I could sense even then that it was the beginning of the end and that something was amiss. Also, 3dfx really should not have bought Gigapixel, what the hell were they thinking? &quot;We're poor, so lets shell out a few million so we can be even poorer- sounds reasonable!&quot;

By the way, nVidia products suck wang anyway, all power no finesse. If I want to see too-dark colors at 100fps I'll turn down the resolution on my G400 Max and turn off the monitor. :| Oh, and the 2d sucks ass too...DVD decoding too I might add. :)

I almost forgot to mention, ya know how everyone is b!tching about how expensive the nVidia products are now (GTS Ultra, GTS Pro, GTS 64MB- deals here at AT don't count)? Imagine the price after a main competitor, 3dfx, goes into submission. I hope this thought fills you with lots of warm and fuzzy thoughts.

I wish Matrox didn't &quot;temporarily leave the gaming market.&quot; ATi will have my money the next time I upgrade my video card (a G400 MAX that has served me and continues to kick major ass for 14 months).
