NTFS and FAT32 in WinXP Pro

I am doing a clean install of Win XP Pro and would like to make it and NTFS file system on they main disk that I install onto. 2 questions regarding doing so...

1. Will I still be able to read/use my second drive that is in FAT32 from a previous Win98SE. This HD mainly has MP3 files and some other less used programs.

2. Would there be any reason to consider using FAT32 on the new drive?

Thanks in advance for any advice....
