I just got the chip in a retail box and I was wondering if i should use arcit silver3? If so do I put it on the whole silver side that connects to the heatsink?....and if so do i remove that gray/black thing on the heatsink (i think its wax but not sure) thanks!

I would use the gray pad unless you plan to overclock. If you use asIII, use a single edge razor blade to scrape off the gray pad. Then put 2 or 3 drops of asIII on the cpu, and spread it as thin as possible with the razor blade or credit card. You can also apply a thin coat to the heatsink, but it's not necessary.

The silver thingy is a backing thermal plate that covers the actual die. This aids in the transfer of heat. Yes you have to put a thnlayer over the entire silver surface area to effectively transfer the heat (and yes you should remove the black thermal material from the Heatsink). You may want to use a fine sandpaper and lap the heatsink a bit since the finish is pretty bad and was not meant to be used bare.
