New system critique needed and appreciated!

Ok,

I've been given the green light to majorly upgrade my p3-3.0 system and would like to present the two possible forms my new baby could take..

AMD:

Venice 3500+
Abit AN8-Ultra w/ OTES
Maxtor DMAX 160gb SATA
1gb Simple Tech PC3200 (2 512s)
SB Audigy 2 Gamer sound card
ATI X800XL PCI-E 256mb w/ zalman vf700 cooler
Dual layer DVD burner and dvd-rom (both liteon)
Seasonic s12-380 power supply
Zalman CNPS-7000-cu processor cooler
onboard 10/100
in an Antec SLK-3700BQE case w/ 2 120mm fans, lower front and upper back.

OR

Change the processor to an Intel 540J 3.2ghz w/ an Asus P5GDC

I'm pretty well settled on the other parts, as some of them are being carried over to the new system board setup.

Oh, I won't be overclocking on this system.

Main uses, web surfing and gaming, (doom 3, HL2, Far cry, you get the idea).

Which processor and board would you pick for the above setup and can I ask why?

Hi and thanks for the words so far, the reason I picked the Abit was because I was trying to stay away from the whiny little chipset fan issue. I notice that the Asus A8N sli prem. has the heatpipe as well.



Vegitto: are you speaking of the Neo platinum? I'm curious as to whether that 90nm issue has been resolved yet I read about on here..

why the third party cooling on GPU if no OC? keep the factory...800XL's run cool already...

Some Maxtor drives are really loud. I'd check http://silentpcreview.com/ on that model. Seagates are generally quieter.

It's one of the items I'm transferring over.. Had it about 1 1/2 years quiet as can be I've had Seagates and yes they are just as quiet as this one.. Samsung I've heard good about but not had one yet.

I almost picked up a Samsung at a Microcenter in Chicago a few weeks back but didn't for some unknown reason now..

microcenter has OEM samsung IDE drives for pretty cheap.
