New Soltek SL-65kv and ram - now it freezes 30 seconds in

I upgraded a computer, now it lasts roughly 30 seconds before it freezes

System specs:

P3 800 (out of other computer)
Soltek Sl-65 KV (new)
256 mb Ram (new)
20 gig hd (no os on it yet)
Voodoo 3
HP 4x burner
230W powersupply

It lasts about 30 seconds, no matter what you do. It will check the ram, the processor, etc.
It will also start loading from the floppy boot disk. But only until it freezes. This will happen in the Bios setup, if trying to boot from the hd thats not bootable, anything.
Ive clocked it down, changed the vid card to an old riva128, unplugged all the drives except the floppy, changed the powersupply, and nothing works.

If there is someone out there who could help out it would be very appreciated.

Try switching out the new memory for some old memory. If it solves your problem you have a bum stick. If not, then your motherboard may be to blame.

I'd say it seems more like a heat issue... the clip on my heatsink broke last night and the PC froze within 15 seconds... pentium cpu will shutdown as soon as the temperature gets too high.... better that than a fried cpu... did you replace the heat compound at the bottom of your HS or are you using what came with it?

I didn't replace the heat goo; I thought the old stuff would be sufficient. Ill change that and keep you updated, thanks for the suggestion.
