New rig - Asking for feedbacks

After a few hours of reading, I've come up with these parts for my new rig:

Mainboard:
MSI K8N NEO2 PLATINUM S939 - nForce3 250 Ultra, ATX, RAID, GbLAN, FW
CPU:
AMD Athlon 64 3200+ 2.0 GHz Socket 939 - "Winchester", 512KB Cache, Boxed
CPU cooler:
Thermalright CPU-cooler wo/fan SLK948U - Socket 478 / 754 / 939 / 940
CPU-fan:
Papst fan, 94m³/time, 36 dB(A)
RAM:
OCZ 1024MB Dual Channel Platinum Ed. R-2 - PC-3200 2x512MB (2-2-2-5) 400Mhz E.L.
Hardrive:
Western Digital Raptor 74GB S-ATA - 8MB cache 10000RPM
GPU:
Club3D GeForce 6800GT 256MB, 8X AGP, 256BIT, DDR3, CRT+DVI+TV

The rig will mainly be used for gaming. I was hoping for a decent overclock, maybe around 2500-2600 MHz with the 3200+ Winchester CPU. Is it a fair chance of that?

My questions are:

1. Will a 350 watts power supply be enough for this rig? The one I'm planning to use was preinstalled in my Aopen H600B chassis and looks to be a Fortron/Source. In addition to the parts mentioned above, I'm going to use at least one more hardrive and a DVD-burner.

2. Is it really necessary to buy a seperate CPU-cooler, even if I'm hoping for å good overclock? After reading about others experience with this CPU it looks like it doesn't get very hot. How is the boxed-coolers on socket 939 anyway?

3. If it's necessary with a seperate CPU-cooler, is there any better than the SLK948U on the market that fits this mainboard?

4. I understand this mainboard supports lock og PCI and AGP bus. Does this also include all the hardrive ports? IDE and S-ATA?

I would be looking at getting a bigger powersupply, maybe at least a 400watt.

I have a Winchester 3500. They are fantastic overclockers and YES an after market HSF will get you higher, but the stoch AMD HSF cools well but will get a little noisy. Im a stickler for silence so I opted for the Swiftech 6400 HSF w/ a SilenX 14dba fan (i'm almost positive this HSF will fit but its pricey). I oc mine to 2.42GHz (which isnt huge) but it stays sooooo cool. 90 nm's really run cool, they are so nice. PSU's are so overlooked its ridiculous. Get a good one (I choose only PCPower&Cooling) and make it atleast 400, but would be better at 480. Can't get too many watts!!! SilenX are the only fans I use. Unless you are a hardcore overclocker there's no need for tornadic pc!
